ARTICLE I: DEFINITIONS AND PURPOSE A. Definitions: As expressed in these By-Laws. The purpose of the organization known as Bay Area Seniors’ Computer Club (herein-after known as the Computer Club), is to encourage the use and knowledge of computers among the senior population in the community. The Computer Club is a volunteer, not for profit corporation. It will be (is) registered as a non –profit corporation in the State of Oregon, and will be (has been) granted tax-free status under IRS Section 501 [C] [3]. Membership is open to all who:
B. This corporation is organized exclusively for the charitable and education purposes within the meaning of Section 501 [C] [3] of the Internal Revenue Code. Notwithstanding other provisions of these Articles, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal Income Tax under Section 501 [C] [3] of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue law) or (b) by an organization, contributions to which are deductible under Section 170 [C] [2] of the Internal Revenue Code of 1986 (or corresponding provisions of any future United States Internal Revenue law). ARTICLE II: ADVISORY COUNCIL A. The Advisory Council (herein-after known as the Council) shall be the Board of Directors of the Computer Club. The Council shall consist of ten (10) members. The Council shall elect among themselves, the positions as follows:
B. Each member of the Council shall be elected to the Computer Club Council for a term of one (1) year. C. The Council shall appoint leaders for Standing and Special Committees. Committees are for the purpose of providing advice and information to the Council and do not have the right of final decision. D. Council meetings shall be held on an as needed basis, but shall be held at least once monthly. E. Council meetings are open to all members. F. A quorum of the Council shall be five (5) of the elected members of the council. A majority vote, of those present, is required to approve any action taken. G. The Council, or a member of the council, may be recalled by a simple majority vote of the members present at a General Membership meeting. H. All Council members are volunteer positions and serve without compensation. I. The Council is authorized to conduct the business of the Computer Club. J. The Council is responsible for communicating to the General Membership the actions of the Council. ARTICLE III: GENERAL MEMBERSHIP MEETING A. General Membership meetings shall be held as directed by the council but should be held at least once monthly. B. At a June General Membership meeting, an election of ten (10) Council members shall be held. Their term of office shall begin on July 1. C. Council members who are unable to complete their term of office, for any reason, will be replaced by Council appointment. The replacement members for that position shall serve only to the end of the original term of office, but they may be re-nominated for a Council position at the end of their appointment. ARTICLE IV: NOMINATING COMMITTEE A. The Nominating Committee is composed of three (3) members from the General Membership. The three (3) members are selected by the Council. The Nominating Committee shall meet sixty (60) days prior to the June General Membership meeting and select from the membership a slate of names for the Council. The membership shall be responsible to vote for the election of their desired candidates. B. The Nominating Committee is required to previously contact all persons under consideration and inform them of their possible nomination and election to the Council. A candidate’s acceptance is mandatory before they can be nominated. C. Nominations can be made from the floor at the June General Membership meeting, with that person’s consent. ARTICLE V: FINANCES A. Dues for membership in the Computer Club: $10.00 per person per annum; $15.00 per married couple per annum. B. Classes and computer lab usage may require additional fees to cover expenses. C. All expenditures require the approval of the Council. D. The Treasurer shall inventory all assets. Those properties given in donation and those loaned shall be separately inventoried. In the event that the Computer Club should be dissolved, those assets shall be returned to the lender, when possible. The following is required by IRS under Section 501 [C] [3]: "Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of Section 501 [C] [3] of the Internal Revenue Code (or corresponding section of any future tax code), or shall be distributed to the Federal government, or to a State or Local Government for a public purpose. Any such assets not so disposed, shall be disposed of by the Court of Common Plea of the Country in which the principle office of the organization (or organizations) is then located, exclusively for such purposes or to such organization or organizations as said Court shall determine which are organized exclusively for such purpose." ARTICLE VI: AMENDING BY-LAWS A. These By-Laws may be amended by an affirmative vote of the majority of the General Membership in attendance at a General Membership meeting. B. General Membership must be notified thirty (30) days prior to voting and adoption of any proposed amendments to these By-Laws. ARTICLE VII: ADOPTION OF BY-LAWS A. These By-Laws have been adopted by the Acting Council
of the Bay Area Seniors’ Computer Club and signed on March 31st,
2000 and shall be considered the rules and regulations of the Bay Area Seniors’
